1. Agreement to terms
These Terms of Service ("Terms") are entered into between you, either individually or on behalf of the organization you represent ("you", "Customer"), and Blue Cloud Global Limited, a Hong Kong company with offices at Rm R1(10), 16/F, THE CLOUD, 111 Tung Chau Street, Tai Kok Tsui, Kowloon, Hong Kong ("Blue Cloud", "we", "us", "our"). By accessing or using our website, applications, and services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Accounts and eligibility
To use most features of the Services, you must register for an account and provide accurate, complete information. You are responsible for all activity that occurs under your account and for keeping your credentials secure. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to create an account. If you are creating an account on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Subscriptions, fees, and renewals
3.1 Plans
Blue Cloud offers free and paid plans. The features and limits of each plan are described on our pricing page. Paid plans are billed on a monthly or annual subscription basis in advance.
3.2 Payment
Fees are stated exclusive of taxes, levies, or duties imposed by taxing authorities, which you are responsible for paying. You authorize us (and our payment processor) to charge your chosen payment method for all applicable fees.
3.3 Auto-renewal
Subscriptions automatically renew at the end of each term at the then-current rates unless canceled before the renewal date. You can cancel at any time from your workspace settings; cancellation takes effect at the end of the current billing period.
3.4 Refunds
Except where required by law, fees are non-refundable. We may, at our sole discretion, issue pro-rated refunds for annual plans in exceptional circumstances.
4. Acceptable use
You agree not to, and not to permit any third party to:
- use the Services to violate any applicable law, regulation, or third-party right;
- upload or transmit malware, viruses, or any other harmful code;
- interfere with or disrupt the integrity, security, or performance of the Services;
- attempt to gain unauthorized access to any account, system, or data;
- resell, sublicense, or otherwise commercialize the Services without our prior written consent;
- reverse engineer, decompile, or attempt to extract the source code of the Services;
- use the Services to harass, abuse, or harm any person, or to distribute unlawful content.
We may investigate and take appropriate action, including suspension or termination, against any user we reasonably believe has violated these Terms.
5. Your content and data
5.1 Ownership
You retain all rights in and to the content, data, and materials you upload, post, or submit to the Services ("Customer Content"). We do not claim ownership of your Customer Content.
5.2 License to us
You grant Blue Cloud a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process your Customer Content solely to provide and improve the Services and as otherwise permitted by these Terms.
5.3 Responsibility
You are solely responsible for the Customer Content you upload, its legality, and the rights you have in it. You must ensure you have all necessary consents and rights to submit the Customer Content.
5.4 Backups
While we take reasonable steps to maintain backups, you are responsible for independently backing up Customer Content that is important to you. See our Privacy Policy for details on how we handle your data.
6. Intellectual property
The Services, including all software, designs, trademarks, logos, and documentation, are and will remain the exclusive property of Blue Cloud Global Limited and its licensors. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.
You may submit suggestions, ideas, or feedback about the Services. You agree that we may use any such feedback without obligation or compensation to you.
7. Confidentiality
Each party may receive non-public information from the other that is marked or reasonably identifiable as confidential ("Confidential Information"). Each party will: (i) use the other's Confidential Information only as necessary to perform under these Terms; and (ii) protect it with the same degree of care it uses to protect its own confidential information, and in no case less than reasonable care.
8. Third-party services
The Services may include integrations with, or links to, third-party services and websites. We are not responsible for those third-party services. Your use of them is governed by their own terms and privacy policies.
9. Termination
You may stop using the Services and terminate your account at any time. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have materially breached these Terms, if required by law, or if providing the Services to you is no longer commercially viable. Upon termination, your right to use the Services will cease immediately, and we may delete your Customer Content after a reasonable retention period as described in our Privacy Policy.
10. Disclaimers and limitation of liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BLUE CLOUD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US UNDER THESE TERMS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
11. Indemnification
You agree to defend, indemnify, and hold harmless Blue Cloud Global Limited and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your Customer Content; or (c) your violation of these Terms or any applicable law.
12. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms that cannot be resolved through good-faith negotiation will be submitted to the exclusive jurisdiction of the courts of Hong Kong SAR, except that either party may seek equitable relief in any court of competent jurisdiction.
13. Changes to these terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Services at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of them.
